- Act as the primary point of contact for legal matters, providing legal advice and support to the Department Manager/Board of Management on legal, regulatory, and compliance matters related to the company's operations, as well as supporting the Board of Directors and Board of Management in corporate governance.
- Consult and support the Department Manager/Board of Management on the application of legal regulations, corporate and parent company policies in the company's business activities.
- Provide legal counsel and support to the company on matters governed by Vietnamese and International Law related to their business operations; assist other departments in ensuring legal compliance.
- Review, assess, and advise on legal terms and conditions of commercial contracts from the bidding stage to project execution. Participate in negotiations with clients/partners/subcontractors to finalize contracts and resolve disputes (if any).
- Lead the process of dispute resolution through litigation/arbitration.
- Directly handle tasks related to drafting, reviewing, and providing feedback on contracts within the Business Development Department.
- Provide support in contract review and clarification of legal issues to relevant departments upon request.
- Research and assess potential legal risks that may impact the company's decisions and business activities.
- Develop risk management strategies and provide legal advice to the top management.
- Liaise and promote relationships with relevant parties such as government agencies, consultants, advisors, litigators, etc.
- Research legal aspects that may affect the company's rights and business operations, and prepare necessary legal documentation to ensure legal compliance.
- Regularly update and disseminate newly passed laws and amendments according to company procedures to relevant units. Lead and coordinate/support relevant units in assessing compliance with legal documents related to the company's business operations.
Requirements:
- Minimum 10 years of experience in contract and legal advisory roles within the oil and gas construction and large-scale project sectors.
- Experience as a legal and financial consultant for enterprises.
- Strong understanding of Vietnamese Law and common law system (e.g., UK Law, Singapore Law).
- Knowledge of oil and gas industry regulations and company, parent company, and corporate policies related to the job scope.
- Ability to stay updated on legal information and newly passed laws.
- Proven ability to handle legal documents in English, with strong negotiation skills in both Vietnamese and English for commercial contracts.
- In-depth understanding of legal regulations and expertise in dispute resolution through litigation/arbitration, with experience in legal cases for companies.
- Excellent English language skills for legal document processing, particularly contracts, and strong negotiation skills in both Vietnamese and English for commercial contracts.
- Ability to work independently and proactively.
